1. About These Terms

These Tally CIRCLE Terms of Use (“Terms”) are provided by Tally Solutions Private Limited, having its registered office at 331-336, Raheja Arcade, Koramangala, Bangalore – 560095 (hereinafter referred to as “Tally”, or “we”, or “us” or “our”, which shall include its group companies, subsidiaries, associate and affiliates). These Terms govern your (defined below and referred to as “User” or “you” or “your(s)”) use of and access of the Platform (defined below) and forms a binding agreement between you and us. These Terms apply to every person who visits, browses, registers on, or interacts with the Platform in any capacity. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. Please read these Terms carefully. These Terms form an integral part of and shall be read in conjunction with the Privacy Policy hosted at https://tallycircle.com/privacy-policy/. We may update these Terms from time to time. When we do, we’ll revise the date at the top of this page. If a change is material, we’ll make reasonable efforts to let you know either by posting a notice on the Platform or sending you an email. Your continued use of the Platform after any update constitutes your acceptance of the revised Terms. If you disagree with an update, you can close your account at any time.

1. Definitions

The following terms have specific meanings throughout this Agreement:

• “Expert” refers to a User who has registered on the Platform as a subject-matter specialist in one or more identified areas of expertise. An Expert contributes to the community by sharing informed opinions, responding to questions raised by other Users, and creating or uploading resources such as articles, blogs, guides, and other educational content. These contributions are intended to support, inform, and guide other Users on the Platform.
• “Group” means a topical community formed by Registered Users around a shared subject, interest, or goal, as described in Section G.
• “Intellectual Property Rights” means all patent, copyright, trademark, trade secret, moral, and other proprietary rights that exist or may come into existence under any applicable law.
• “Platform” means the website – https://tallycircle.com, mobile applications, APIs, and all related services, features, and tools made available by us from time to time.
• “Prohibited Content” has the meaning given in Section I.
• “Registered User” means a User who has created an account on the Platform and shall include an Expert.
• “Services” means the Q&A functionality, group features, events, resources and all other tools and capabilities offered through the Platform.
• “User,” “you,” or “your(s)” refers to any individual or entity [primarily Mirco, Small and Medium Enterprises (MSME’s)] that accesses or uses the Platform, whether as a registered member or a visitor.
• “User Content” means any content, material, or information that a User creates, uploads, submits, publishes, transmits, or otherwise makes available on or through the Platform. This includes, without limitation, blogs, articles, resources, statements, questions, answers, comments, replies, feedback, images, graphics, links, documents, and any other form of communication or material shared by a User.

1. Eligibility

• To use the Platform, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.
• By using the Platform, you also confirm that: (a) your use complies with all applicable laws, rules and regulations in your jurisdiction; and (b) you have not previously been suspended or permanently barred from using the Platform.

1. Nature of the Platform

• Communication Platform Only – The Platform operates as a neutral and passive intermediary, providing the technical infrastructure and communication tools necessary to enable the exchange of questions, answers, and information among users. The Company does not act as a publisher, broadcaster, editor (except where content is against these Terms or violation of law), or author (unless specifically stated) of any User-generated content on the platform. It neither initiates, solicits, nor directs such content.
• No Endorsement of User Content – We do not endorse, verify, warrant, or guarantee the accuracy, completeness, reliability, legality, or appropriateness of any User Content. Any reliance placed by any User upon User Content is done strictly at that User’s own risk. The Company expressly disclaims any and all liability arising from the reliance upon or use of User Content by any party.
• Third-Party Interactions – Any interactions, transactions, communications, disputes, or engagements between Users on the Platform are solely between those Users. The Company is not a party to, and bears no responsibility or liability in connection with, any such interactions. The Company reserves the right, but assumes no obligation, to monitor or intervene in any User dispute.
• No Professional Advice – Nothing on the Platform constitutes professional, or any other form of regulated advice. User Content is provided for general informational and discussion purposes only. Users should seek the advice of a duly qualified professional before acting on any information obtained through the Platform.

1. Your Account

• Registration – To access and use most features of the Platform or post questions, submit answers, or join Groups, you’ll need to create an account as a User. You agree to provide accurate, current, and complete information when registering and to keep that information up to date. You may also choose to register as an Expert to offer suggestions, share experiences, or provide input to other Users. All registrations may be subject to our review and due diligence.
• Credentials and Security – You are responsible for keeping your login credentials and password confidential and for everything that happens under your account. Please notify us immediately at support@tallycircle.com, if you suspect any unauthorised use of your account.
• One account Per User – Each User or entity may hold only one active account. Creating duplicate or fake accounts is prohibited and may lead to suspension or permanent removal of all related accounts.
• Suspension and Termination – We reserve the right to suspend or permanently terminate your account if we have reason to believe you have violated these Terms or acted in a way that harms the Platform or its community. We’ll do our best to communicate with you about serious actions, but we’re not obligated to provide prior notice in every case.

1. User Content – Ownership, Licence & Data Use

• You Own Your Content – We does not claim ownership of the content you post on the Platform; it remains yours. By posting User Content, you represent and warrant that you own it or have all necessary rights, licences, consents, and permissions to post it and to grant us the rights described below. You also confirm that your content does not infringe the privacy, intellectual property rights of any User or third party.
• Licence to Operate the Platform – By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable licence to use, copy, store, host, reproduce, modify, adapt, translate, distribute, publicly display, and create derivative works from your User Content, solely to the extent necessary to operate, maintain, improve, and promote the Platform and its Services. This licence includes, without limitation, the right to reformat or repackage User Content for display across different devices, interfaces, or media channels associated with the Platform.
• Archiving and Display – You acknowledge and agree that we may archive, index, cache, and publicly display your User Content on the Platform indefinitely, even after you delete your account, subject to the provisions of our Privacy Policy. This ensures that answers and discussions that are valuable to the Users across the Platform remain accessible over time.
• Use for Platform Improvement, AI, and Machine Learning – In addition to the operational licence above, you grant us a separate, non-exclusive, worldwide, royalty-free, perpetual, and irrevocable licence to use the User Content, individually or in aggregate, in original or anonymised form for the following purposes:
• improving, training, fine-tuning, or developing our internal software, algorithms, recommendation engines, and search and ranking systems
• building, training, evaluating, or enhancing artificial intelligence and machine learning models that power or support features of the Platform, including but not limited to AI-assisted answer suggestions, content moderation tools, and knowledge-base utilities
• conducting research and analytics to better understand how Users interact with the Platform and to enhance the overall experience; and
• generating anonymised, aggregated insights or reports for internal business purposes.

[Please note that we will not sell your identifiable personal data or individually attributed content to third parties for their own AI training purposes. When your content is used for model training or analytics, it will be processed in de-identified or aggregated form wherever reasonably practicable. You always retain full ownership of your original posts.]

• Feedback – When you share suggestions, ideas, or feedback with us or on the Platform (“Feedback”), you allow us to use it freely and in an unrestricted way to improve the Platform or the Services thereunder.
• Content Moderation – We reserve the right, but do not assume the obligation to review, screen, edit, remove, or disable access to any User Content at any time, for any reason, without prior notice. We are particularly likely to act on User Content that violates these Terms or applicable laws or that we determine is harmful to other Users or third parties or we have been directed by any government or its departments and agencies to remove such User Content.
• User Communications and Contact Information – By providing your contact information on the Platform, you consent to other Users contacting you directly. You are solely responsible for the information you share and for any communications you receive. Users must use all contact information and other Users’ personal data responsibly and may not misuse, harass, or disclose it without consent. The Platform does not monitor, control, or endorse communications between Users and is not responsible for their content, accuracy, or frequency.

1. Groups

• We allow Registered Users to create and join Groups which are dedicated spaces where people with shared interests, questions, or goals can communicate and collaborate. A Group is a communication channel hosted on the Platform; it does not create any legal partnership, employment, agency, or other legal relationship between us and its members.
• The Registered User who creates a Group (“Group Admin”) takes on responsibility for moderating that Group in line with these Terms. Group Admins must not permit, facilitate, or encourage the distribution of Prohibited Content within their Group.
• We only provide the communication tools. What participants and Users achieve through those Groups is entirely up to them. We make no representation that participation in any Group will lead to any solution, result, or benefit.
• Group membership may be revoked by the Group Admin or by us at any time, with or without notice, for conduct that violates these Terms or violates applicable laws or that disrupts other Users.

1. Fees

• Access to the Platform and its core Services is free of charge. While we hope to keep it that way, we cannot guarantee that this will always be the case.
• We reserve the right, at our sole discretion, to introduce fees, subscription plans, premium features, or other forms of monetisation at any point in the future. Before any such change takes effect, we will give Registered Users advance notice through the Platform or by email. The various pricing structures and applicable fees will be clearly communicated through the Platform. Continuing to use a paid feature after its pricing has been communicated constitutes your acceptance of the applicable fees.
• Fees shall be exclusive of all applicable taxes which shall be borne by the User.

1. Prohibited Content and Conduct

• When using the Platform or its Services, you agree not to post, upload, or transmit any content that:
• is unlawful, fraudulent, or violates any applicable law, rules or regulation
• is defamatory, harassing, threatening, abusive, or constitutes hate speech on the basis of race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic
• is immoral, obscene, pornographic, sexually explicit, or offensive in a way that a reasonable person would find objectionable
• constitutes spam, unsolicited commercial messages, chain letters, or pyramid schemes
• infringes the Intellectual Property Rights or privacy rights of any third party
• contains malware, viruses, or any other harmful code designed to disrupt or damage systems or data
• impersonates any person or entity, or misrepresents your affiliation with any person or entity
• promotes violence, self-harm, terrorism, or extremist ideology
• includes the personal information of any third party without their explicit consent.
• Users shall upload only such content including photos or videos for which they have lawful rights and necessary permissions, and which do not violate applicable laws, third‑party rights, or these Terms and the Platform policies.
• Any content that is wholly or partially generated, modified, enhanced, or manipulated using artificial intelligence or other synthetic techniques including but not limited to synthetic visuals, generated imagery, voice cloning, synthetic speech, altered audio, within complete AI generated content or deepfake elements embedded in an otherwise natural photo or video must be clearly and prominently disclosed and labelled as such by the user at the time of upload, and must not misrepresent real persons, events, or actions. The Platform may use automated and manual measures to review, moderate, label, restrict, or remove uploaded content that is unlawful, harmful, misleading, or non‑compliant with self‑governance and safety guidelines as per relevant applicable laws and guidelines.
• Users remain solely responsible for the content they upload, agree to cooperate with the Platform in addressing any compliance, takedown, or grievance requests, and acknowledge that the Platform may restrict access, suspend accounts, or take appropriate action where content misuse or policy violations are identified.
• You also agree not to:
• use bots, scrapers, or automated tools to access or collect data from the Platform without our prior written consent
• attempt to reverse-engineer, decompile, or extract the source code of any software underlying the Platform
• circumvent or interfere with any security or access controls on the Platform
• use the Platform for any unlawful purpose or to facilitate illegal activity
• engage in any behaviour that restricts, harms, or degrades other Users’ experience on the Platform.

1. Intellectual Property Rights

• The Platform including its software, architecture, design, graphics, trademarks, and all content created by us is the exclusive property of Tally Solutions Private Limited or its licensors and is protected by applicable Intellectual Property Rights laws. Nothing in these Terms transfers any of those rights to you, except for the limited rights granted for accessing and using the Platform and the Services.
• Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform and its Services for your own lawful, non-commercial purposes. This licence does not include any right to sublicense, resell, reproduce, distribute, modify, or create derivative works from the Platform or its content.

1. Privacy

Your privacy matters to us. How we collect, use, and protect your personal data is set out in our Privacy Policy, which forms part of these Terms and is incorporated here by reference. By using the Platform, you acknowledge that you’ve read and understood our Privacy Policy.

1. Disclaimers

The Platform and all Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected. We do not warrant the accuracy, completeness, or usefulness of any User Content.

1. Limitation of Liability

We and our affiliates, directors, officers, employees, agents, and licensors will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages including loss of profits, loss of data, loss of goodwill, or business interruption arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages. Our aggregate liability to you for all claims arising out of or relating to these Terms or the Platform will not exceed the amount of INR 10,000 (Indian Rupees Ten Thousand Only).

1. Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your infringement of any third party’s rights and Intellectual Property Rights.

1. Third-Party Links and Services

The Platform may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and take no responsibility for, the content, privacy practices, or terms of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit. In the course of providing the Platform and the Services, we may engage third-party partners, suppliers, and vendors. By accessing or using the Services, you acknowledge and agree to the involvement of such third-party service providers. You further agree to comply with any applicable terms and conditions that may be separately specified by such third-party service providers.

1. Termination

• We may suspend or permanently terminate your access to the Platform at any time, with or without cause, with or without notice. We’re particularly likely to act where we reasonably believe you have violated these Terms or applicable laws; or acted in a way that puts other Users or the Platform at risk; or have been directed by the government or its departments and agencies to terminate your account.
• You may stop using the Platform and close your account at any time through your account settings. Closing your account terminates this agreement between us, though the provisions that by their nature should survive will continue to apply.
• Upon termination of these Terms: (a) your license rights to the Platform will terminate and you must immediately cease its use; (b) you will no longer be authorized to access your account on the Platform; (c) you must pay us any unpaid amount that was due prior to termination or you shall not be eligible for any refund (unless agreed by us). You are solely responsible for retaining copies of any User Content you post on the Platform, since upon termination of your account, you may lose access rights to any User Content you posted on the Platform. If your account has been terminated for a breach of these Terms, then you are prohibited from creating a new account on the Platform using a different name, email address or other forms of account verification.

1. Governing Law and Disputes

• These Terms are governed by and construed in accordance with the laws of India. If you have a concern or dispute, we’d like to hear from you first. Please contact us at support@tallycircle.com and describe the issue. We’ll make a genuine effort to resolve it informally within thirty (30) days.
• All disputes under these Terms and the Platform shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.

1. General

• Entire Agreement: These Terms, together with our Privacy Policy and any supplemental guidelines incorporated by reference, constitute the entire agreement between you and us regarding the Platform and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be severed or modified to the minimum extent necessary, and the remaining provisions will continue in full force.
• No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right going forward.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We shall not be held liable for any breach of these Terms due to any force-majeure event that prevents or delays performance of its obligations under these Terms such as government orders and sanctions, embargoes, lockdown, pandemic, endemic, act of god, fire, lightning, explosion, flood, adverse weather conditions, power failures, failure in any communication systems, equipment breakdown, strikes, lock-out or any other cause beyond our control (“Force Majeure Events”). However, we will make all reasonable efforts to notify you in the event of such Force Majeure Events.
